Playaside - Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the Playaside mobile applications, websites, and related services (collectively, the “Service”). The Service is operated byPLAYASIDE LTD (“Playaside”, “we”, “us”, or “our”).

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Who we are / Contact

2) Eligibility

You must be able to form a legally binding contract to use the Service. If you are under the age of 18 (or the age of majority where you live), you may only use the Service with the consent and supervision of a parent/guardian who agrees to these Terms.

3) Your account

• Account security: You are responsible for maintaining the confidentiality of your login credentials and for all activity on your account.
• Accurate information: You agree to provide accurate, complete, and up-to-date information (including your name, email, and country where required for wallet/currency or payouts).
• Suspension/termination: We may suspend or terminate your account if we reasonably believe you have violated these Terms, used the Service unlawfully, or created risk to others or to the platform.

4) What the Service does

Playaside provides tools to:

• Create and manage communities and memberships
• Create, discover, and participate in sports matches (including player availability, team generation, and live drafts)
• Communicate via match chat, community chat, and private messages
• Facilitate venue bookings (including pending/confirmed states)
• Facilitate payments and wallet-based flows
• Enable eligible organizers/managers to onboard for payouts through a third-party payment processor

We do not operate the sports events ourselves unless explicitly stated. Responsibility for running events typically sits with the relevant organizer/community manager and/or venue.

5) User content (communities, chats, profiles, uploads)

The Service may allow you to post, send, or upload content, including messages, photos, and community details (“User Content”).

• Your rights: You retain ownership of your User Content.
• License to us: You grant Playaside a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting), display, and distribute your User Content solely to operate, improve, and provide the Service (including delivering messages and showing your content to other users you choose to interact with).
• Responsibility: You are responsible for your User Content and confirm you have the rights needed to post it.
• Moderation: We may remove or restrict User Content if we believe it violates these Terms or applicable law, or if required to protect users or the platform.

6) Acceptable use (community standards)

You agree not to:

• Use the Service in a way that violates any law or regulation
• Harass, bully, threaten, defame, or discriminate against others
• Share illegal, sexually explicit, hateful, or violent content, or content that promotes self-harm
• Impersonate someone or misrepresent your identity
• Attempt to access accounts, systems, or data you are not authorized to access
• Interfere with the Service (e.g., scraping, reverse engineering, introducing malware, or overloading infrastructure)
• Use the Service for commercial spam or unsolicited promotions

We may take action (including warnings, content removal, suspension, or termination) to enforce these rules.

7) Events, participation, and safety

Sports and physical activities involve inherent risks (including injury, illness, or property damage). You are responsible for:

• Deciding whether you are fit to participate
• Following venue rules and organizer instructions
• Using appropriate equipment and safety practices
• Obtaining any medical advice you need

To the maximum extent permitted by law, Playaside is not responsible for injuries, losses, or disputes that arise from participation in events arranged through the Service.

8) Venues and third parties

Some parts of the Service involve third parties, such as venues, community organizers, or payment providers. Third parties may have their own terms and policies. We are not responsible for third-party services or actions.

9) Payments, wallet, fees, and taxes

9.1 Payments processor

Payments and payouts may be processed by third-party providers (e.g., Stripe). You authorize us and our payment partners to process payments, refunds, and related transactions necessary to provide the Service.

9.2 Wallet

If wallet features are available in your region/account:

• Your wallet may be denominated in a currency determined by your country settings.
• Wallet balances are intended to be used within the Service for eligible transactions.
• We may impose limits or verification requirements to prevent fraud and comply with law.

9.3 Fees (service charge) and VAT/taxes

For certain paid flows (such as paid matches), you may be charged:

• Match price set by the organizer/community manager
• Service charge (platform fee), and any applicable taxes (including VAT) on that service charge

The service charge may be designed to cover platform operations and payment processing costs (including card processing fees). Where applicable, VAT is applied to the service charge at the prevailing rate for your location and the transaction.

9.4 Pricing display and rounding

We try to display prices clearly before checkout. Minor differences may occur due to rounding, currency conversion (if applicable), or processor requirements.

9.5 Chargebacks and fraud

If you initiate a chargeback or we suspect fraudulent activity, we may suspend your account and/or restrict access to wallet and payment features while we investigate.

10) Refunds, cancellations, and booking status

Refund and cancellation rules may depend on the specific match, organizer policies, venue requirements, and payment method.

Unless otherwise stated:

• If a venue booking is pending, it may only become confirmed after successful payment confirmation.
• If a match is cancelled, we may process refunds or credits consistent with the organizer policy, applicable law, and payment provider rules.

We may update or publish more detailed refund and cancellation guidelines inside the Service; those guidelines will be incorporated by reference into these Terms.

11) Organizer payouts (for eligible users)

If payouts are available to you, you may need to complete onboarding and verification with our payment provider. You agree:

• To provide accurate information required for onboarding (including identity and banking details)
• That payout availability may depend on provider requirements and compliance checks
• That we may delay or withhold payouts where reasonably necessary to manage risk, resolve disputes, comply with law, or comply with payment provider obligations

12) Intellectual property

The Service, including software, design, logos, and content provided by Playaside (excluding User Content), is owned by or licensed to Playaside and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service unless we give you written permission.

13) App stores

If you download the app from the Apple App Store or Google Play, you also agree to the applicable store terms. Apple/Google are not responsible for the Service. Where required, Apple is a third-party beneficiary of these Terms.

14) Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that:

• The Service will be uninterrupted or error-free
• Messages, real-time updates, or notifications will always be delivered on time
• Events, venues, organizers, or participants will meet your expectations

15) Limitation of liability

To the maximum extent permitted by law, Playaside will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity.

To the extent Playaside is liable, our total liability for any claims relating to the Service will not exceed the greater of:

• The amounts you paid to Playaside (excluding amounts paid to third parties) in the 3 months before the event giving rise to the claim
• £100 (or local equivalent)

Nothing in these Terms limits liability that cannot be limited by law (including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).

16) Indemnity

You agree to indemnify and hold harmless Playaside from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

17) Changes to the Service or Terms

We may change the Service or these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., in-app notice or email). By continuing to use the Service after changes take effect, you agree to the updated Terms.

18) Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, without regard to conflict of laws principles. Courts located inEngland and Wales will have exclusive jurisdiction, unless mandatory consumer protection laws in your country provide otherwise.

19) Miscellaneous

• Severability: If any provision is found unenforceable, the remainder will remain in effect.
• No waiver: Failure to enforce a provision is not a waiver.
• Assignment: You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or asset sale.
• Entire agreement: These Terms (and any policies incorporated by reference) are the entire agreement between you and Playaside regarding the Service.
